Division plan of the Datalab Tehnologije d. d. transferor company from 24 November 2017

In accordance with the regulations of the Ljubljana Stock Exchange and applicable legislation, Datalab Tehnologije, d. d., Hajdrihova 28c, 1000 Ljubljana, Slovenia (hereinafter referred to as Datalab d. d.), is publishing the following message:

Datalab Tehnologije d. d., Hajdrihova 28c, 1000 Ljubljana, Slovenia, Registration No.: 184629000, Tax No.: 87965399 (hereinafter referred to as Datalab d. d.) in accordance with paragraph 1 of Article 629 of the Companies Act of the Republic of Slovenia (Hereinafter referred to as ZGD-1) and pursuant to the provisions of Article 586 of ZGD-1, as the transferor company announces that, on 27 November 2017, it submitted the Division plan for the DATALAB d. d. transferor company to the registration authority, the District Court in Ljubljana, from 24 November 2017 (hereinafter referred to as the Division Plan) pertaining to the planned split-off through the establishment of a new company. The purpose of this announcement is to inform shareholders of the transferor company that they may review the Division plan at the headquarters of DATALAB d. d. every business day (from Monday to Friday) between 9:00 and 16:00 until 29 December 2017, when the Datalab d. d. shareholder meeting will take place. At this meeting, the consensus for the split-off will be determined, and the division plan reviewed with all its appendices: Datalab AH, Upravljanje družb d. d., statute proposal, Datalab d. d. opening balance, Datalab AH, Upravljanje družb d. d., opening balance, court decision on the naming of auditors, reports from the division and formation auditor, annual reports from Datalab d. d. for the last three fiscal years, the management report, and the board of director’s report on the review of the split-off. Shareholders of the transferor company are advised that they may request a free copy of these documents and that Datalab d. d. shall provide such copies no later than the following business day. These documents will be available at the general meeting of the transferor company at which company management will give an oral explanation of the contents of the Division Plan and inform shareholders about all important asset changes of the transferor company during the period between the draft of the Division Plan and the general meeting. All creditors of Datalab d. d. are advised and warned that they may request a free copy of the Division Plan and that Datalab d. d. shall provide the copy no later than the following business day.

 

The announcement will be available at SEOnet and Datalab’s website (www.datalab.eu) from 27 November 2017 for at least five years.
